1. Introduction

Welcome to UpCRM. These Terms of Service ("Terms") govern your access to and use of the UpCRM customer relationship management platform, including our website, dashboard, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account and Access

Access to UpCRM is provided through accounts managed by your organization. You are responsible for:

  • Keeping your login credentials confidential
  • All activity that occurs under your account
  • Complying with your organization's policies and any role-based access restrictions

Notify your administrator immediately if you suspect unauthorized access to your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service in violation of any applicable law or regulation
  • Infringe on the intellectual property or privacy rights of others
  • Transmit malware, spam, or other harmful content
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to harass, abuse, or harm others
  • Resell or sublicense the Service without authorization

5. Your Data

You retain ownership of the data you upload or create in UpCRM (e.g., client information, invoices, notes). By using the Service, you grant us a limited license to process, store, and display your data as necessary to provide the Service. We do not claim ownership of your data. Our handling of your data is governed by our Privacy Policy.

6. Service Features

UpCRM includes features such as:

  • Client and company management
  • Invoice and document handling
  • Email integration (e.g., Gmail)
  • Telegram notifications and bot
  • AI-powered chat and invoice extraction
  • Reports and analytics
  • Multi-organization support

We strive to maintain the availability and performance of these features but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice where feasible.

7. Third-Party Integrations

The Service may integrate with third-party services (e.g., Gmail, Telegram). Your use of those integrations is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or content of third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD 100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless UpCRM, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Your organization may terminate access to the Service at any time. We may suspend or terminate your access if you breach these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g., disclaimers, indemnification) will survive termination.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

13. General

These Terms constitute the entire agreement between you and UpCRM regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. These Terms are governed by the laws of the jurisdiction in which your organization is based, unless otherwise agreed.
